Zarvice Service Provider Agreement & Terms of Service

Welcome to Zarvice. "Zarvice" is a trade name used by Governance & Business Lab LLC, a Michigan limited liability company, pursuant to a Certificate of Assumed Name filed with the Michigan Department of Licensing and Regulatory Affairs. This Service Provider Agreement ("Agreement") governs your access to and use of the Zarvice mobile application, website, and related technology platforms (collectively, the "Platform") as an independent service provider ("Zarvicer", "Service Provider", or "You").

By registering as a Zarvicer, you agree to be bound by the terms, conditions, and payout policies set forth below.

1.1. Platform Role: Zarvice operates as a technology matchmaking platform connecting independent business professionals ("Zarvicers") with end-user clients ("Zarviceis"). Zarvice does not execute, supervise, control, or guarantee the direct physical performance of services requested on the Platform.

1.2. Independent Contractor Relationship: You acknowledge and agree that you operate as an Independent Contractor (1099 Status) and not as an employee, agent, joint venturer, or partner of Zarvice. You retain complete discretion over your schedule, work methods, equipment, and acceptance of service requests.

1.3. No Direct Liability / Service Guarantee Waiver: Zarvice explicitly disclaims any liability or warranty regarding the work performed, damages, theft, property loss, or non-conforming services. Zarvicers are solely responsible for their workmanship, field inspections, safety standards, and maintaining appropriate individual or commercial insurance coverage.

1.4. Dispute Center and Arbitration. This Agreement uses "Dispute Center" for Zarvice's internal, non-binding first-line review (§4A). Binding arbitration, when it applies, is governed by Zarvice's separate Arbitration Agreement administered by the American Arbitration Association ("AAA"). An open Dispute Center case on a booking holds your payout eligibility under §3 until that case is resolved.

Zarvice classifies platform fees into four job-value tiers. The applicable schedule is selected in this priority order: (1) First 10 completed jobs after registration; (2) otherwise, the first 6 months from registration; (3) otherwise, the Standard schedule. Free on-site inspection quotes are permitted for Tier 4 prior to formal contract binding.

2.1. Standard commission (after the promotional periods below):

• Tier 1: Under $150 — 20% platform service fee. The remaining 80% is credited to your Zarvicer balance.
• Tier 2: $150 – under $500 — 17.5% platform service fee. The remaining 82.5% is credited to your Zarvicer balance.
• Tier 3: $500 – $1,500 — 15% platform service fee. The remaining 85% is credited to your Zarvicer balance.
• Tier 4: Over $1,500 — Flat base fee of $100 + 5% variable commission on the total accepted contract value, deducted upon official contract creation or milestone payouts.

2.2. First 6 months from registration (applies after your first 10 completed jobs, while still within 6 months of registration):

• Tier 1: Under $150 — 15% platform service fee. The remaining 85% is credited to your Zarvicer balance.
• Tier 2: $150 – under $500 — 12.5% platform service fee. The remaining 87.5% is credited to your Zarvicer balance.
• Tier 3: $500 – $1,500 — 10% platform service fee. The remaining 90% is credited to your Zarvicer balance.
• Tier 4: Over $1,500 — Flat base fee of $50 + 2.5% variable commission on the total accepted contract value, deducted upon official contract creation or milestone payouts.

2.3. First 10 completed jobs after registration:

• Tier 1: Under $150 — 0% platform service fee. The remaining 100% is credited to your Zarvicer balance.
• Tier 2: $150 – under $500 — 0% platform service fee. The remaining 100% is credited to your Zarvicer balance.
• Tier 3: $500 – $1,500 — 0% platform service fee. The remaining 100% is credited to your Zarvicer balance.
• Tier 4: Over $1,500 — Flat base fee of $50 + 1% variable commission on the total accepted contract value, deducted upon official contract creation or milestone payouts.

2.4. Verification and visibility fees. Separately from the commission schedule above, Zarvice offers: (a) an optional, one-time "Verified" badge, currently priced at $50, displayed publicly on your profile; and (b) a paid "Featured Pro" placement that increases your visibility in search results, at a fee set and adjustable by Zarvice (see §3.3 on Zarvice's right to amend fee terms). Neither fee is required to use the Platform as a Zarvicer; both are optional. Purchasing either does not entitle you to any specific volume of leads, bookings, or earnings, and does not alter your independent-contractor status or the commission schedule in §2.1–§2.3.

All financial transactions, payment processing, and earnings transfers on the Platform are processed through third-party payment processors, primarily Stripe Connect.

3.1. Eligible payout conditions. Your earnings on a given booking become eligible for payout ("Eligible") only once all of the following conditions are met: (a) you have marked the job complete and the Client has independently confirmed completion in-app (dual confirmation — your marking the job "Completed" alone does not trigger payout); (b) your Stripe Connect account is fully verified and payout-ready; and (c) there is no open Dispute Center case on the booking under §4A. Client payment authorization, by itself, does not make your earnings payable — it only means the funds are held pending the conditions above. Zarvice does not offer, and this Agreement does not promise, instant or automatic payout upon your marking a job complete or upon the Client's payment alone.

3.2. Payout transfer once Eligible. Once a booking reaches Eligible, your net earnings (gross invoice minus the applicable platform commission under §2) are queued for transfer to your linked Stripe Connect account. Transfers follow the standard payout mechanics and settlement timing supported by Stripe Connect for your account and region, and are not guaranteed at a fixed number of hours from job completion.

3.3. Right to Amend Categories & Payout Terms (Sections 2 & 3): Zarvice reserves the right, at its sole discretion, to modify or update any terms, tier structures, commission percentages, flat fees, verification/visibility fees, or payout mechanics set forth in Section 2 and Section 3 of this Agreement at any time. Zarvicers will be notified of any material changes via in-app notification or email prior to the effective date. Continued access to or use of the Platform after the effective date constitutes your explicit acceptance of the updated terms. If you do not agree, you must immediately cease using the Platform and request account closure.

4.1. Prohibition of Off-Platform Agreements: Engaging with clients met through Zarvice outside the Platform to bypass platform commissions, service fees, or payment recording mechanisms ("Off-Platform Leakage") is strictly prohibited.

4.2. Penalties & Legal Escalation: If a Zarvicer accepts leads, performs work, or solicits payments for a Zarvice client off-platform, Zarvice reserves the right to: immediate suspension or permanent termination of the Zarvicer Account; revocation of Platform Pro/VIP badges and search placement privileges (including the Verified badge and Featured Pro placement described in §2.4); suspension of direct payout permissions and account access; and legal and judicial action to recover uncollected platform fees, liquidated damages, and associated legal costs, unless a mutually agreed financial settlement is reached.

4A.1. Dispute Center. Either you or the Client may open a case in the in-app Dispute Center regarding a booking. Zarvice Support reviews in-app evidence and applies a policy-coded outcome under its internal operating policies (for example, releasing your payout, or issuing a refund to the Client). While a Dispute Center case is open on a booking, that booking cannot become Eligible under §3.1, and your payout for that booking is held pending resolution. There is no fee to open or participate in Dispute Center review.

4A.2. Binding Arbitration Agreement. Matters not resolved through the Dispute Center may be subject to Zarvice's separate, mandatory Arbitration Agreement, administered by the American Arbitration Association ("AAA"). Dispute Center review is not the same as binding arbitration under that Agreement.

5.1. Form 1099-K / 1099-NEC: As an independent contractor in the United States, you are solely responsible for reporting and paying all federal, state, and local taxes on income generated through the Platform.

5.2. Automated Tax Setup: By using Stripe Connect, you consent to the electronic delivery of IRS tax forms (including Form 1099-K). Zarvice and Stripe will automatically collect your Tax Identification Number (TIN/SSN/EIN) and submit required earnings records to the Internal Revenue Service (IRS) in compliance with federal laws.

6.1. Closure Procedure: You may request account termination at any time via the Zarvice App Settings or by contacting support@zarvice.com.

6.2. Final Settlement: Upon receiving a closure request, all pending jobs must be officially completed or canceled, and any remaining net earnings that have reached the Eligible stage in your balance will be transferred via standard ACH (or your linked Stripe Connect payout method) to your registered account in the next payout cycle. Earnings on bookings that have not yet reached Eligible remain subject to §3.1 and are not accelerated by a closure request.
